Board Meeting Preparation

The agenda of a board meeting is one of the most essential elements of an effective board meeting. A well-planned agenda for meetings will help to focus the discussion and help cut down on unimportant topics. It will also ensure that the board members are prepared to engage in the issues at hand.

The executive team must decide on a few important strategic areas prior to the board meeting. This will allow them to avoid a boardroom runaway and instead make the discussion of the board efficient and productive.

Once the agenda for the board meeting is finalized, the board admin should distribute the agenda to all directors, making sure that they have the opportunity to review the material in advance of the meeting. This lets them highlight key points and prepare any questions they might have ahead of time. It also gives directors the chance to submit or review any reports that they need to submit.

The general counsel or a designated representative, should also look over any documents that management has prepared to ensure consistency and look for any typos. They should also ensure that there is a section listing attendees and draft language for the decision making that is required.

The chair should also be in touch with any directors or chairs of committees who were assigned action items from prior meetings, to make sure they’re on the right track. This is an excellent way to stay informed of any developments and give a timely update.
